| Der Adler Military Collectibles Consignment Agreement 1. Parties; Effective Date. This Consignment Agreement (“Agreement”) is between Consignee (Der Adler Military Collectibles) and the undersigned entity “Consignor”, . The effective date of the consignment will be from and will last for a period of one (1) year from that date. At the end of the consignment term, the agreement may be terminated or extended by an agreement of both parties. The extension will be agreed to in writing. It may be for an additional term of one year or any part thereof. 2. Purpose of Agreement. Consignor is the owner of the militaria as set forth in Exhibit A to this Agreement (collectively, the “Militaria”). This Agreement sets forth the terms and conditions under which Consignor will permit Der Adler to market and sell the Militaria to customers and prospective customers through channels available to Der Adler. 3. Consignment. 3.1 By its signature below, Der Adler acknowledges receipt of all Militaria. Der Adler has received custody of the Militaria, but ownership of, title and interests in and to the Militaria is and shall remain with Consignor. 3.2 Subject to the terms of this Agreement, the consignor agrees to allow Der Adler to market, promote, and advertise, the Militaria to whom he feels will net the greatest return. 3.3 The Consignor agrees that all expenses (auction fees, trade show, table rental, magazine, newspaper advertising, etc.), fees , and subscriptions (auction subscriptions, trade magazines, etc.) incurred by Der Adler relating to the marketing and/or sale of the Militaria will be split between Der Adler and the Consignor. These fees will be deducted from the realized price prior to the determination of commission. 3.4 The Consignor agrees to the payment of a commission to Der Adler Military Collectibles of 20% of the realized price of all items sold. The payment of commission and realized price will be agreed upon by the Consignor and Der Adler Military Collectibles. 3.5 The payment of realized prices will be paid by check by Der Adler to the consignor when the realized price minus commission reaches approximately $500. 4.Unforseen items Any item that comes up that is not explicitly covered in this agreement will result in consultation between the consignor and Der Adler. If necessary both parties agree that this agreement may be amended as long as both parties agree to the written amendment.
